THE SMALLISH PRINT:
Richard Rawlings, via Rawlings Products Ltd, provides tailored services on the following basis:
1. This is an outsourced support service and not a formal Directorship in respect of the Companies Act 2006.
2. This is a rolling monthly service, with an initial contractual term of twelve-months, with a six-month break clause should measurable results not be evidenced within the first six months.  
3. One month's notice to terminate may be given at any time after ten days prior to the end of month eleven. 
4. Should no measurable results be evident after six months from commencement, then, if you wish to exercise your break clause, you must do so within the first week of month seven, by giving verbal notice followed up immediately in writing (email or Whatsapp is acceptable), and the contract will be regarded as terminated from that date, with no further liability on either side. 
5. Reactive 1:1 agent support is included, under a "reasonable use" policy. 
6. Training is provided by video recording and/or Zoom meeting at our discretion.
7. In-person visits, if required, are chargeable separately, with fees and expenses being agreed in advance. 
8. Confidentiality is assured. 
9. All training and/or marketing material supplied is strictly copyright but may be used by your agency as you see fit during your contract period, within your licenced area only, and for its obvious intended purpose only, and must not be resold, lent, or in any other way offered to anyone not directly involved with your agency within your defined area of operation.
10. We undertake not to offer the Fractional Directorship service to any other estate agency offering similar model estate agency services to you within your defined area of operation, subject to reasonable boundary crossover.
11. The defined licenced area of operation is the location specified in the initial Agency Analysis Worksheet you'll be asked to complete on acceptance.  
12. Although we hold professional indemnity insurance, no liability is accepted for any advice, guidance, suggestion or support that, when implemented, does not go as intended.

13. Priority access to Richard is offered subject to availability at the time. If Richard is not immediately available, you will nevertheless usually receive a same-day response.  
14. The first invoice will be submitted on acceptance, and the service will commence immediately on payment.
15. The second invoice will be payable 30 days later and then on the same day each month.
16. Payment is due on receipt of invoice, with payment by standing order being preferred. 
17. Should payment of any invoice not be made within 14 days of the due date, interest at rate of 8% over the Bank of England Base Rate will be applied, along with any subsequent collection costs, if any.
18. All parties agree that these terms and conditions are reasonable and further agree to be lawfully bound by them.
